Richard Phillips

Richard is a highly experienced solicitor who advises a wide client base of national developers, corporate investors, local authorities and other public bodies. 

Richard regularly advises on complex development and investment sales and acquisitions which are made subject to subsisting interests, overage, deferred payment or infrastructure obligations.

Having trained and practiced with a local authority, Richard holds a strong grasp of the statutory and political considerations that impact upon public sector decision making which allows him to support our public sector clients with a wide range of real estate transactions.

Richard has advised local authorities, academy trusts, further education and higher education clients on various transactional matters including academy conversions, capital projects, disposals/acquisitions, estate services, financing and grant funding arrangements. 

Richard is also an experienced development lawyer who also represents a national house builder client.

Richard enjoys engaging with regular clients at an early stage of negotiation as proper collaborative consideration of heads of terms can save significant time and cost.

  • Delivering the property elements of numerous Academy conversions since 2010 having represented both local authority and academy trust clients in respect of community, foundation, faith and PFI school conversions. Richard has in-depth experience of complex conversion arrangements involving shared services, leasebacks and subsisting funding arrangements. 
  • Negotiated the terms of a variety of grant / convertible loan arrangements from the perspective of both funder and recipient.
  • Advised both local authority and academy trust clients in connection with the procurement of new build school capital projects.
  • Negotiating and drafting bespoke development agreements in collaboration with our construction team.
  • Negotiating the terms of several ERDF capital grant agreements which involved, amongst other things, an analysis of state aid compliance.
  • Advising a local authority in connection with its obligations under the DFE’s Priority School Building Programme.
  • Advising both local authorities and higher education clients in respect of significant land disposals and acquisitions.
  • Providing holistic support on wide ranging estate issues from regularising title issues, routine lettings and estate re-finance to a regional university. 
  • Acting on behalf of a client in  relation to High value acquisitions on behalf of a ground rent investment fund of mixed use or wholly residential estates;  
  • Advising on the disposal of surplus land on behalf of public bodies for residential development; 
  • Acquisition of development sites in Northern regions on behalf of a FTSE 250 listed residential housebuilder; 
  • Advising a local authority on its acquisition of “The Globe” music venue, a £10M re-development funded by Heritage Lottery Fund capital grant; 
  • Led completion of a £15M refinance on behalf of a further education institution; 
  • Negotiation of development agreements for new school build capital investment from the perspective of both Academy Trust and local authority.
